Vistance Networks agreed to sell its RUCKUS Networks business to Belden Inc. for $1.846 billion in cash, marking a major portfolio shift toward its Aurora Networks segment. The transaction, announced April 30, 2026, is expected to close in the second half of the year pending regulatory approvals and customary conditions. The deal transfers a well-established enterprise Wi-Fi and campus networking franchise to Belden, a company with a growing focus on industrial and enterprise connectivity infrastructure.

The company expects approximately $1.7 billion in net proceeds after taxes and transaction costs, with plans to return a significant portion to shareholders via a special distribution within 60 days of closing. Leadership framed the divestiture as a move to unlock shareholder value while sharpening operational focus on Aurora Networks, which represents Vistance’s next phase of technology investment. The shift also provides additional financial flexibility for both organic R&D and potential acquisitions aligned with next-generation networking platforms.

For Belden, the acquisition expands its presence in enterprise networking, adding RUCKUS’ portfolio of Wi-Fi access points, switches, and cloud-managed networking solutions. The integration is expected to complement Belden’s existing industrial networking footprint, positioning the combined portfolio to address converging IT/OT environments and increasing demand for high-performance connectivity across enterprise, campus, and industrial deployments.

• Transaction value: $1.846 billion in cash
• Expected net proceeds: ~$1.7 billion after taxes and expenses
• Closing timeline: Second half of 2026, subject to approvals
• Strategic impact (Vistance): Focus shifts to Aurora Networks and next-gen technology investments
• Strategic impact (Belden): Expands enterprise networking portfolio with RUCKUS Wi-Fi and switching assets
• Shareholder return: Planned special distribution within 60 days post-close

“I’m pleased to announce this transaction, which unlocks additional equity value and allows us to return cash to our shareholders, while providing a strategic, complementary fit for our RUCKUS business,” said Chuck Treadway, CEO of Vistance Networks.

🌐 Analysis: The divestiture of RUCKUS marks the latest step in the evolving corporate trajectory of Vistance Networks, which has undergone multiple strategic pivots over the past decade. The company traces its roots to the former CommScope enterprise networking assets, including the RUCKUS portfolio, which it integrated to build a presence in campus Wi-Fi and enterprise switching. Over time, Vistance assembled a mix of broadband access, enterprise networking, and infrastructure software assets, but faced increasing pressure to streamline operations and improve capital efficiency.
