Lattice Completes AMI Acquisition, Combining FPGA and Firmware

Lattice Semiconductor completed its acquisition of AMI, bringing together low-power FPGA technology with silicon-neutral platform firmware and infrastructure manageability software aimed at cloud and AI infrastructure. The transaction, first announced on May 4, creates a combined portfolio spanning secure platform control, firmware, and programmable hardware for hyperscalers, OEMs, ODMs, and emerging AI cloud providers. Lattice said the acquisition is expected to be accretive to gross margin, free cash flow, and non-GAAP earnings per share while supporting its goal of reaching an annual revenue run rate exceeding $1 billion by the end of 2026.

The combined company targets one of the fastest-growing segments of AI infrastructure: the management plane that controls, secures, provisions, monitors, and updates increasingly complex accelerator clusters. Lattice contributes low-power programmable FPGAs used for hardware control and security, while AMI adds decades of experience in BIOS, BMC firmware, platform security, orchestration, and infrastructure manageability software deployed across a broad range of compute platforms. Lattice emphasized that AMI will continue operating as a dedicated business unit under the AMI brand, maintaining its silicon-neutral strategy and continuing to support processors and platforms from across the industry rather than favoring Lattice hardware.

As AI clusters continue scaling to hundreds of thousands of GPUs, infrastructure management has become a strategic layer alongside compute, networking, and storage. Operators increasingly require secure firmware, hardware root-of-trust technologies, remote lifecycle management, and platform orchestration across heterogeneous server fleets. The combination of Lattice’s programmable control devices and AMI’s firmware portfolio positions the company to participate more deeply in this management and security layer rather than competing in the AI accelerator market itself.

The transaction also preserves AMI’s longstanding ecosystem-neutral position. That neutrality is significant because AMI firmware supports platforms built around processors and accelerators from multiple semiconductor vendors. Maintaining that independence may help preserve relationships with hyperscalers, OEMs, ODMs, and silicon suppliers while allowing Lattice to expand its presence in AI server architecture through management and control technologies rather than proprietary compute silicon.
