The $700 million financing involves issuing 33.3 million Class A shares at $21 each, a slight premium to the average market price. The deal, managed by Goldman Sachs, remains subject to customary closing conditions.
Nebius confirmed it will not repurchase Class A shares as previously authorized, citing robust investor engagement since its Nasdaq trading resumed in October 2024. Arkady Volozh, founder and CEO, expressed gratitude to investors, emphasizing the company’s readiness to scale operations. Board observer rights have been granted to Matt Weigand of Accel, with a potential director nomination set for 2025.
