Synopsys agreed to sell its Optical Solutions Group (OSG) to Keysight Technologies marking a strategic move to secure regulatory approval for Synopsys’ pending acquisition of Ansys. The sale will become final pending regulatory reviews and the closure of the Ansys deal, expected in the first half of 2025. Both transactions involve customary closing conditions.

The Optical Solutions Group offers a suite of optical design tools, including CODE V for imaging systems, LightTools for illumination, and LucidShape for automotive lighting. OSG’s recently launched ImSym virtual prototyping platform for imaging systems will also transfer to Keysight. This acquisition will strengthen Keysight’s portfolio, allowing it to integrate optical design capabilities with its existing electronic design simulation tools.

The financial terms of the sale remain undisclosed. Synopsys emphasized its commitment to supporting a smooth transition for OSG’s employees and customers. “We are proud of Synopsys’ Optical Solutions Group,” said Ravi Subramanian, general manager of the Systems Design Group at Synopsys. “Keysight will be an excellent future steward for this team, and customers worldwide will benefit from continued, strong competition in optical design solutions.”

Key Points:

• Synopsys will sell its Optical Solutions Group to Keysight Technologies.

• Products included in the sale: CODE V, LightTools, LucidShape, RSoft Photonic Device Tools, and ImSym.

• The deal is part of the process to obtain approval for Synopsys’ acquisition of Ansys.

• Financial terms were not disclosed.

• The transaction is expected to close in the first half of 2025, pending regulatory approval.

“We look forward to welcoming the business’ employees to Keysight when the transaction closes and working with them to address customers’ critical design challenges,” said Niels Faché, vice president and general manager of Keysight Design Engineering Software.
